Bookyful – Terms of Use and End User License Agreement (EULA)

Effective Date: January 1, 2025

IMPORTANT NOTICE

Section 19 includes a binding arbitration and class action waiver. If you reside in the United States or your business is based there, this section affects your legal rights regarding dispute resolution with Bookyful. Please review it carefully.

1. Acceptance of the Terms

Welcome to Bookyful (“Company”, “we”, “our”, or “us”).

By accessing or using Bookyful.com, the Bookyful App, or any related services (collectively, the “Service”), or by clicking to accept these Terms when prompted, you confirm that you have read, understood, and agreed to be bound by:

• these Terms of Use and End User License Agreement (“EULA”), and
• our Privacy Policy, incorporated herein by reference
  (together, the “Agreement”).

These Terms constitute a legally binding End User License Agreement (EULA) between you and Bookyful governing your use of the Service, software, and Digital Content.

If you do not agree with this Agreement, you may not access or use the Service.

These Terms apply to all users, including those who contribute content.
The English version of this Agreement controls in case of any translation conflict.
Additional rules or guidelines posted for specific features form part of this Agreement.

2. Changes to the Terms

Bookyful may modify these Terms at any time by posting an updated version on Bookyful.com or within the Bookyful App. Continued use of the Service after such posting constitutes acceptance of the revised Terms.

3. Definitions

“Coins” – Virtual currency used within the Service to unlock Digital Content.
“Digital Content” – Digital comics, books, webtoons, animations, audio, or other creative works.
“Bookyful Website” – https://bookyful.com
“Bookyful App” – Bookyful’s mobile and desktop applications and related software.
“User Content” – Any content uploaded or shared by users through the Service.

4. Digital Content and License

A. Ownership

All Digital Content is owned by Bookyful or its licensors and is protected by intellectual property laws. No ownership rights are transferred to you.

B. Limited Content License

Bookyful grants you a limited, non-exclusive, non-transferable, revocable license to access Digital Content solely for personal, non-commercial use.
Downloaded content may be stored on one device for up to thirty (30) days, after which it may expire or become inaccessible.

C. Restrictions

You may not copy, distribute, sell, rent, sublicense, modify, reverse-engineer, or create derivative works from any Digital Content.
Circumventing DRM, security measures, or access controls is strictly prohibited.

D. DRM and Security

Digital Content and software may be protected by digital rights management (DRM) and other security technologies. You agree not to bypass or interfere with such protections.

5. Software License (EULA)

A. License to Use the App

Subject to your compliance with this Agreement, Bookyful grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Bookyful App solely on devices you own or control, for personal, non-commercial use.

The App is licensed, not sold.

B. App Store and Platform Terms

If you download the App from the Apple App Store or Google Play Store, you acknowledge that:

• This Agreement is between you and Bookyful, not Apple or Google.
• Apple and Google are not responsible for the App or its content.
• Apple and Google have no obligation to provide maintenance or support.
• If the App fails to conform to any applicable warranty, you may notify the platform provider, and they may refund the purchase price (if any); to the maximum extent permitted by law, they have no further obligation.
• Apple and Google are third-party beneficiaries of this Agreement and may enforce it against you.

C. Updates and Modifications

Bookyful may provide updates, upgrades, or modifications to the App or Service. Certain updates may be required for continued use. Bookyful does not guarantee continued availability of any feature.

6. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction).
Users under 18 must use the Service with parental or legal guardian consent.
Bookyful may request age verification and suspend access for noncompliance.

7. Privacy

Your use of the Service is subject to our Privacy Policy.
Bookyful does not knowingly collect personal data from children under 13 without parental consent.

8. Intellectual Property Rights

All Service materials, including software, design, text, and data, are owned by Bookyful or its licensors and are protected by law.

The Bookyful App and software are licensed, not sold. All rights not expressly granted are reserved by Bookyful.

9. Advertisements

The Service may include advertisements from Bookyful or third parties. Bookyful is not responsible for third-party advertising content or linked websites.

10. Obligations of Authors and Publishers

By submitting works for adaptation or collaboration, you confirm ownership of rights, proper licensing, and responsibility for artist relationships.
You agree to indemnify Bookyful from claims arising from your content or transactions.

11. Obligations of Artists

Artists confirm legal eligibility, ownership of rights, non-infringement, and agree to indemnify Bookyful from related claims. Artists are responsible for maintaining adequate insurance where required.

12. User-Generated Content

Users are solely responsible for content they upload.
Bookyful may remove content that violates this Agreement or applicable law.

13. Coins and Purchases

Coins are virtual items with no real-world value and are non-transferable.
All purchases are final unless otherwise required by law.
Promotional Coins may expire. Bookyful may modify or discontinue the Coin system.

14. Suspension and Termination

Bookyful may suspend or terminate access for violations of this Agreement.

Upon termination, all licenses granted under this EULA immediately terminate, and you must cease use of the Service and delete any downloaded software or Digital Content.

15. Disclaimer of Warranties

The Service is provided “as is” and “as available.”
Bookyful disclaims all warranties to the maximum extent permitted by law.

16. Limitation of Liability

To the maximum extent permitted by law, Bookyful shall not be liable for indirect, incidental, special, or consequential damages, including loss of data or profits.

17. Indemnification

You agree to defend, indemnify, and hold harmless Bookyful from claims arising from your use of the Service or violation of this Agreement.

18. Governing Law

This Agreement is governed by the laws of the State of California, USA, excluding conflict-of-law rules.

19. Arbitration and Class Action Waiver

At Bookyful’s discretion, disputes may be resolved through binding arbitration under AAA rules.
You agree to bring claims only in an individual capacity and waive class or collective actions.

20. Entire Agreement and Severability

This Agreement constitutes the entire agreement between you and Bookyful.
If any provision is unenforceable, the remaining provisions remain in effect.

21. Export Control

You may not use or export the Service in violation of U.S. export laws or sanctions regulations.
